Terms of Service

1. Acceptance and eligibility

By starting or continuing a Padnai conversation, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the service.

You must be at least 18 years old and legally able to enter into this agreement. You may not use Padnai on behalf of a minor or allow a minor to access your account. If we reasonably believe an account is used by a minor, we may suspend it and delete associated data, subject to legal and safety retention requirements.

2. What Padnai provides

Padnai provides fictional AI companion experiences, primarily through supported messaging services such as Telegram. Depending on availability and your plan, the service may include generated text, audio, images, video replies, and conversation memory used to personalize later interactions.

Features, companions, reply timing, usage allowances, and availability may change. Any limits shown on the plans page are maximum allowances, not guaranteed delivery times or service-level commitments.

3. Safety and appropriate reliance

Padnai is entertainment and companionship software. It is not a medical, mental-health, legal, financial, therapeutic, or emergency service. Do not rely on a companion to diagnose, treat, prevent, or respond to any condition or emergency.

If you or another person may be in immediate danger, contact local emergency services. In the United States and Canada, you can call or text 988 for crisis support. Padnai cannot guarantee that it will detect distress or intervene.

4. Accounts and messaging platforms

You are responsible for controlling your Telegram or other linked account, maintaining its security, and all activity sent through it. Notify [email protected] if you believe someone has accessed your Padnai experience without permission.

Telegram and other third-party services have their own terms and privacy practices. Padnai does not control those services and is not responsible for their availability, security, or independent handling of your information.

5. Your content and permissions

You retain any rights you have in messages, images, audio, and other content you submit. You grant Padnai a limited, worldwide, non-exclusive license to host, process, reproduce, transform, and transmit that content only as reasonably needed to provide, personalize, secure, troubleshoot, and support the service, and to comply with law.

You represent that you have the rights and permissions needed to submit your content. Do not provide another person's private, biometric, intimate, or copyrighted material without a valid legal basis and their permission where required.

6. Acceptable use

You may not use Padnai to:

• create, request, distribute, or promote sexual content involving minors or anyone represented as a minor;
• create non-consensual intimate content, sexual deepfakes, or content that exploits a real person's likeness;
• impersonate, defraud, threaten, stalk, harass, abuse, or invade the privacy of another person;
• encourage self-harm, suicide, violence, terrorism, trafficking, or other serious wrongdoing;
• upload malware, probe security, bypass safeguards or usage limits, scrape at scale, or disrupt the service;
• violate intellectual-property, publicity, privacy, data-protection, or other legal rights;
• present generated content as authentic evidence of a real person's statements or actions; or
• use the service for any unlawful purpose or help another person do so.

We may investigate suspected misuse and remove content, restrict features, suspend access, preserve evidence, or report conduct when reasonably necessary for safety or legal compliance.

7. Generated content and intellectual property

Padnai and its licensors own the service, companion designs, software, branding, and other service materials. Subject to these Terms, you may use generated replies for personal, non-commercial purposes. No rights in Padnai's trademarks, models, systems, or companion identities are transferred to you.

Generated content may resemble content produced for other users and may not qualify for intellectual-property protection. We do not guarantee that generated content is unique, accurate, non-infringing, or suitable for a particular use. You are responsible for reviewing it before sharing or relying on it.

8. Memory and personalization

Padnai may derive and retain memories, preferences, relationship context, and other inferences from your conversations so later replies feel continuous. These inferences may be incomplete or wrong. You can request access, correction, or deletion by contacting [email protected]. Our handling of personal information is described in the Privacy Policy.

9. Free and paid plans

Free access may be limited by daily allowances, reply intervals, capacity, or other controls. Paid plans, if offered, will show the price, billing period, renewal terms, material limits, and cancellation method before purchase. Taxes may apply. Unless checkout states otherwise, paid subscriptions renew until canceled.

You may cancel a subscription using the method shown at purchase or by contacting support. Cancellation stops future renewal but does not automatically refund the current period. Refunds are provided where stated at checkout or required by applicable law. Mandatory consumer cancellation and refund rights are not limited by these Terms.

10. Availability, suspension, and termination

We may modify, pause, or discontinue all or part of Padnai, including a companion or feature. We may suspend or terminate access for a material breach, safety risk, legal requirement, fraud, abuse, or threat to the service. Where reasonably possible, we will provide notice and an opportunity to appeal by contacting support.

You may stop using Padnai at any time and request deletion. Sections that by their nature should survive termination, including intellectual property, disclaimers, liability limits, and dispute terms, remain in effect.

11. Disclaimers

To the maximum extent permitted by law, Padnai is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that any companion will respond within a particular time or that content will always be safe, accurate, available, or preserved.

Some jurisdictions do not allow certain disclaimers. In those jurisdictions, this section applies only to the extent legally permitted and does not remove non-waivable consumer rights.

12. Limitation of liability

To the maximum extent permitted by law, Padnai and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or opportunities arising from the service. Our aggregate liability for claims relating to the service will not exceed the greater of the amount you paid Padnai during the six months before the event giving rise to the claim or US$100.

These limits do not apply to liability that cannot legally be limited, including liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or violations of mandatory consumer or data-protection law where applicable.

13. Disputes and applicable rights

Before filing a claim, please email [email protected] with a description of the issue and requested resolution so we can try to resolve it informally. Either party may still seek urgent injunctive relief when necessary.

Any claim may be brought in a court that has lawful jurisdiction. Nothing in these Terms deprives you of mandatory rights, remedies, or venue protections under the laws that apply where you live. We do not require arbitration under these Terms.

14. Changes and contact

We may update these Terms to reflect changes in the service or law. We will post the revised Terms and update the date above. For material changes, we will provide additional notice and request renewed acceptance where required. Changes do not apply retroactively unless the law permits and the notice clearly says so.
